1. Agreement to Terms & Parties
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "User", "You") and Linkup.dk ApS (CVR: DK34226679), operating the website and SaaS application PIMplify ("PIMplify", "Service", "We", "Us").
By creating an account, connecting your PIM system, uploading files, or using PIMplify, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.
2. Description of Service
PIMplify is a cloud-based Software-as-a-Service (SaaS) platform designed for e-commerce teams, brand manufacturers, and distributors. The Service enables automated product catalog enrichment, grounded web specification fetching, Google Merchant taxonomy mapping, multi-channel copy generation (e.g. Amazon, Shopify, eBay), and digital sell sheet creation via artificial intelligence.
We continuously enhance PIMplify and reserve the right to modify, update, or improve features of the Service at any time.
3. User Accounts & Responsibilities
- Account Accuracy: You must provide accurate, complete, and current information during account registration.
- Credential Security: You are responsible for maintaining the confidentiality of your login credentials and API keys. You are fully responsible for all activities that occur under your account.
- Authorized Access: You may not share your account credentials with unauthorized third parties outside your organization.
4. Pricing, Billing & Subscriptions
PIMplify offers transparent pricing plans based on token usage, processed product SKUs, and enterprise subscription tiers.
- Billing Cycles: Paid subscriptions and credit top-ups are billed in advance on a recurring monthly or annual basis via Stripe.
- Taxes & VAT: All listed prices are exclusive of applicable Value Added Tax (VAT) or sales taxes, which will be calculated and added based on your business location and VAT registration status.
- Cancellation & Refunds: You may cancel your subscription at any time via your account settings. Payments made for past billing periods or consumed token credits are non-refundable, except as required by applicable mandatory law.
5. Content Ownership & Web Grounding Rights
Your Content & AI Outputs (100% Customer Owned):You retain 100% ownership of all raw data, Excel files, images, and reference documents uploaded to PIMplify. Furthermore, you own all AI-generated product titles, marketing copy, attributes, and sell sheets generated by PIMplify for your account.
Web Grounding & External References:When submitting manufacturer URLs, competitor websites, or PDF datasheets for web grounding or context enrichment, Customer warrants that it has the lawful right to reference such sources and that such usage does not violate third-party trade secrets or copyrights.
PIMplify IP:Linkup.dk ApS retains all rights, title, and interest in and to the PIMplify SaaS platform, including software code, UI design, trademarks, brand logos, algorithms, and documentation.
PIMplify provides artificial intelligence tools for text generation, data extraction, and web specification grounding. Artificial intelligence outputs may occasionally contain inaccuracies, incomplete specifications, or unintended phrasing.
The Customer bears sole and exclusive responsibility for reviewing, verifying, approving, and publishing any content generated by or derived from PIMplify to their own e-commerce webshops, PIM systems, ERP databases, advertising channels (e.g. Amazon, Google Shopping, eBay), digital sell sheets, or third-party marketplaces. Linkup.dk ApS assumes no liability whatsoever for any published copy, regulatory claims, customer disputes, or commercial damages arising from published content.
6. Acceptable Use Policy & Prohibited Data
When using PIMplify, you agree NOT to:
- Reverse engineer, decompile, or attempt to extract the source code of PIMplify.
- Upload malware, viruses, harmful payloads, or deceptive content.
- Use automated scripts to overload or cause denial-of-service to our infrastructure.
- Process data that infringes third-party intellectual property, trademarks, or privacy rights.
7. Regulatory & Environmental Claims Disclaimer
PIMplify is a technical software tool and does not provide legal, regulatory, or environmental compliance advice. Customer is solely responsible for ensuring that all product claims (including but not limited to EU Green Claims Directive compliance, organic certifications, CE markings, country of origin disclosures, hazardous material disclosures, and medical/health claims) comply with all local, EU, and international regulations prior to publication.
Linkup.dk ApS disclaims all liability for regulatory fines, consumer protection enforcement, or legal actions resulting from non-compliant claims published by the Customer.
8. Limitation of Liability & Customer Indemnification
Warranty Disclaimer ("As Is"):PIMplify is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by applicable Danish law, Linkup.dk ApS disclaims all warranties, express or implied, including fitness for a particular purpose, non-infringement, and accuracy.
Cap on Consequential Liability:In no event shall Linkup.dk ApS, its officers, directors, employees, or founder (Søren Riisager) be liable for any indirect, incidental, consequential, special, or punitive damages (including loss of revenue, loss of profits, reputational harm, or business interruption) resulting from AI-generated copy, file processing errors, or published product specifications. Our aggregate monetary liability under these Terms shall under no circumstances exceed the total fees actually paid by Customer to Linkup.dk ApS in the twelve (12) months preceding the incident.
Customer agrees to defend, indemnify, and hold harmless Linkup.dk ApS, its founder, officers, and employees from and against any third-party claims, demands, lawsuits, regulatory penalties, legal fees, or settlements arising out of or related to: (i) Customer's publication or commercial use of content produced by PIMplify; (ii) Customer's violation of third-party intellectual property or privacy rights; or (iii) Customer's breach of these Terms.
9. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Denmark, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the City Court of Copenhagen (Københavns Byret).
